Information about nominations for the Board of Directors & State Directors

The Nominating Committee will be meeting soon to review nominations for 2009 Officers & Directors. IMPORTANT INFORMATION: There are minimum qualifications required for the positions of Officer and Director. Please refer below to the sections of the CAOR Bylaws to find this information. PLEASE BE SURE THAT YOU SATISFY THE CRITERIA FOR THE POSITION YOU ARE SUBMITTING FOR.

Upon receipt of a submission, an application will be sent to the Nominee to be completed and returned to the Association by 5:00pm, Friday, August 8, 2008. If the Nominee is selected as a candidate, he/she will have a personal interview with the Nominating Committee and will be notified of the date and time of the interview.

CAOR Policies & Procedures – Director Information

Local Directors

Term: Two (2) years. (As identified by the organizational chart)

Reporting: Vice President, or Treasurer/Secretary and the Board of Directors.

Duties and Responsibilities

*Serves on the Board of Directors
*Serves as a Chairperson of a standing committee for the Association and selects committee members.
*Shall be the duty of the Local Directors to forward to the Executive Policy & Finance Council any request for new budget items for the new fiscal year.
* Shall perform such or duties as directed by the Board of Directors.

State Directors

Eligibility:

Term: Two (2) years and must have served on Board of Directors of the Association within the past two (2) years.

Reporting: President Elect and the Board of Directors

Duties and Responsibilities

* Serves on the Board of Directors as a contributing member not as a voting member..

* Shall be knowledgeable about the Georgia Association Constitution and By Laws, Policy and Procedures, strategic plan, budget, programs and services.

* Shall prepare for and attend the two (2) Georgia Association of REALTORS conventions, participate in discussions of agenda items and report on real estate related situations in evidence within the Cherokee Association.

* Serves as a Chairperson to one of the Standing Committees for the Association and selects committee members.

* Shall be the duty of the State Directors to forward to the Executive Policy & Finance Council any request for new budget items for the new fiscal year.

* Shall attend at least one State Committee as appointed by President, and provide the Board of Directors, a written report of the knowledge and information obtained by attending the GAR conventions. Said report is due at the first Board of Director’s meeting following the Convention attended. Should reports not be submitted on time, the President shall appoint a replacement for that State Director for the next GAR convention. The Board of Directors encourages attending committee meetings other than GAR, and providing confirmation of attendance.

* State Director is strongly encouraged to apply for a State Committee, and if elected, to attend all meetings.

* Shall perform such other duties as directed by the Board of Directors.

* A State Director may serve no more than two (2) successive terms. This time period includes time served as President and Past President.

* State Directors shall be considered contributing members, but will no longer have a vote.

1. State Director’s General Expenses:

The Cherokee Association of Realtors® shall reimburse the state directors for two (2) GAR Conventions.
Reimbursement will not be made without the proper receipts.

Expenses: Airfare/mileage and hotel expenses combined total reimbursed will not exceed $500.00

Note: All attendees shall pay for all their convention expenses up front and will be reimbursed by the Association with proper documentation. If attendance is not possible, notice must be given to the President immediately.

CAOR By-Laws for Officers & Directors

ARTICLE XI
OFFICERS AND DIRECTORS
SECTION 1 - OFFICERS
The elected officers of the Association shall be a President, a President Elect, a First Vice President, a Second Vice President and a Secretary/Treasurer. They shall be elected for terms of one year. The office of President Elect shall automatically advance to the office of President; the office of President will automatically succeed to that of a state director and hold the title of past president.
SECTION 2 - DUTIES OF OFFICERS
The duties of the officers shall be such as their titles, by general usage, would indicate and such as may be assigned to them by the Board of Directors. It shall be the particular duty of the Secretary to keep the records of the Association and to carry on all necessary correspondence with the NATIONAL ASSOCIATION OF REALTORS® and the Georgia Association of REALTORS® except those duties as assigned to the Association Executive.
SECTION 3 - BOARD OF DIRECTORS
The governing body of the Association shall be a Board of Directors, consisting of the elected officers, local and state directors(a)All officers shall serve a term of one (1) year. Local and State Directors terms shall be for two (2) years. No Director shall serve for more that 6 consecutive years. Time served as officer is not included in the computation.

(b) The president Elect by virtue of office shall be a state director for one year.

(c) State Directors as may be authorized, shall be elected, in such numbers and such terms as may be provided for in the Constitution and Bylaws of the Georgia Association of REALTORS®, The current year President shall be a Director during his term of office and shall not be included in the number of authorized elected Directors for the Cherokee Association of REALTORS®
SECTION4 - ELECTION OF OFFICERS AND DIRECTORS
(a) At least 60 days before the annual election, the nominating committee consisting of the President, president-elect, two past Presidents, and three members at large, (who shall be selected by the current president, with the approval of the Board of Directors,) shall select one candidate for each office. And one candidate for each place to be filled on the Board of Directors The report of the nominating committee shall be placed on the Association’s Web Page at least three weeks preceding the election and a notification mailed to the DESIGNATED REALTOR of record. Additional candidates for the offices to be filled may be placed in nomination by petition signed by at least fifteen percent (15%) of the Active Members. The petition shall be filed with the Association’s AE at least two weeks before the election. The AE shall immediately place the additional nominations on the Association’s Web Site and mail a copy of these additions to the DESIGNATED REALTOR of record for each office.
